"Lunch & Launch" series to offer business leaders a legal primer

Sterling Heights, Mich. – The Lunch and Launch series presented by the Macomb-OU INCubator will welcome Jim Cunningham, senior counsel, and Dave Eberhard, attorney for Warner Norcross & Judd LLC in Sterling Heights, to deliver a presentation titled "Legal Contracts 101 for Business."

The workshop, set for noon to 1 p.m. on Thursday, April 19, will provide an overview of the legal elements of a contract and illustrations of how certain terms and conditions of a contract may help or harm a business. Specific topics will include what constitutes a contract, why a detailed statement of work is important, the difference between express and implied warranties, how a business limits its liabilities and the meaning of indemnification.

Cunningham focuses his practice in two principle areas – the representation of loan servicers and lenders in workout negotiations related to commercial mortgage loans in default, and the representation of businesses with respect to complex corporate transactions and securities law. His practices include business and corporate services, business start-ups and early round financing, mergers and acquisitions, and securities law.

Eberhard practices in the areas of corporate and real estate law. He regularly assists clients with the review, preparation and negotiation of all types of contracts, including purchase orders, sales and supply contracts, service agreements, employment agreements, construction contracts, lease agreements and purchase agreements. He is a council member for the Business Law Section of the State Bar of Michigan, a graduate of Leadership Macomb and a member of many other professional and community organizations.

Admission to the lecture is free and open to the general public. It will include a question and answer period following the presentation. Attendees should bring their own lunch, though beverages will be provided.

The INCubator is located in the Velocity building at 6633 Eighteen Mile Road in Sterling Heights. Those interested in attending the lecture are asked to register in advance by contacting Joan Carleton at (586) 884-9324 or e-mailing to
