FAQ For IBM License Agreement Changes
The purpose of this FAQ is to highlight terms and conditions from each agreement that require compliance from an auditing, support, legal, purchasing and technical perspective. We know that IBM will not modify the Terms and Conditions from any of the documentation that collectively constitutes the entire agreement (IL, IPLA, Vendor Quote and Software Support Guide).
What am I agreeing to adhere to as the Licensee?
The licensee is responsible to review the IBM SPSS Terms and Conditions that are comprised of 4 documents. These documents collectively are recognized as the terms and agreement for IBM software. Software is now sold in combination with Subscription and Support for 12months. The documents are referred to as:
-
LI: License Information. This information varies by product/application and all associated modules you are purchasing. It primarily details the type of license agreement you are entering into and the program unique terms (i.e. Grad Pack, Faculty Packs, Campus Agreements, etc.)
-
IPLA: International Program License Agreement. The information contained in this document describes the terms and conditions you are agree to adhere to by downloading and using the software as an end user.
-
IBM Software Support Guide: This document describes the support available to customers through The Passport Advantage program that covers software license acquisitions, product upgrades and technical support under a single, common set of agreements, processes and tools. The document describes the self help portal available to all IBM customers for support and maintenance.
-
Reseller/Vendor Quote: These are the terms and conditions related to the quote. This document references the LI, IPLA and Support services agreement. By authorizing a purchase you are agreeing to adhere to all agreements and recognize them as a collectively as they constitute the entire agreement between the parties (including the reseller obligations to IBM, IBM and IBM affiliates, 3rd party, the university and the licensee).
Where can I find the Terms and Condition for the International Program License Agreement?
The information can be found in the Vendor Quote in Paragraph 1 or by visiting: http://www-306.ibm.com/software/sla/sladb.nsf/
Where can I find the Terms and Conditions for the Software Support Guide?
The information can be found in the Vendor Quote in Paragraph 2 or by visiting: http://techsupport.services.ibm.com/guides/handbook.html
What documentation must I retain for an audit?
It is important to note that both IBM and IBM Business Partners have the right to audit as indicated in paragraph 9 of the Quote, and for up to two years after the software is no longer in use. In the IPLA, Section 1. “Definitions” the Proof of Entitlement (PoE) is your paid receipt or other sales record. This must be accompanied by the original Purchase order and Packing slip. The paid receipt or sales recordspecifies the Program Name and Authorized Use obtained as indicated in the LI. This documentation is evidence for your eligibility for warranty, future update prices, and special promotional opportunities.
Also, as stated in Section 7. “Program Transfer” if the licensee transfers the Program to another faculty or staff member, all of the Licensee’s license rights and obligations must be adhered to by the other party and they can only download and use the Program only if they agree to the terms of the IPLA and the LI. You must surrender your audit paperwork that comprises the Proof of Entitlement.
What must be included on the Purchase Order?
The purchase order must include the following or IBM can reject the order:
- The Quote Number must be referenced in the OU Purchase Order or Small Order of Purchase
- The part number on the quote must be copied exactly as it appears on the quote as the item number in the OU Purchase Order or Small Order of Purchase.
- The specified term date from the quote must be specified on the corresponding line item in the Purchase Order.
I renewed my licenses and maintenance and support under different terms and conditions during the last annual renewal. What terms and conditions must I adhere to?
The terms and conditions set forth are recognized as the Master Agreement for your IBM Software license and all additional module purchases that run in cooperation with the base software. These terms and conditions void all prior agreements, understanding, negotiations, and discussions for your software licenses (whether they are perpetual or leased).
Agreement Structure : The General Terms and the Country Unique Terms in the IPLA, the LI and the PoE is the complete agreement between licensee and IBM regarding the use of the program. It replaces any prior agreement between licensee and IBM. If there is a conflict between the Country Unique Terms and the General Terms documented in the IPLA, the LI prevails over both.
What terms and conditions are applicable if I upgrade my current version of my licenses?
If licensee receives and update, fix or patch to a Program, Licensee accepts any additional or different terms that are applicable. A technical review with UTS is required.
If I require maintenance and support what considerations should I make concerning my data?
It is important to review the IPLA and Section 9 in its entirety. IBM may request access to your system and/ or that you send your data or files to IBM and/or IBM entities and subcontractors. Under the terms and conditions they hold the individual and the university liable for all controls and permissions regarding data/file sharing including any and all confidential information. IBM is not required to provide remote support unless a separate agreement (in writing) is executed between the university and IBM.
